Amalgamation of Domco Tarkett approved at shareholders meeting

At a special meeting of Domco Tarkett Inc., shareholders approved a resolution to amalgamate Domco Tarkett with 4158148 Canada Inc., an indirect subsidiary of Tarkett Sommer. The company resulting from the amalgamation will be named Tarkett Inc.

This completes the privatization of Domco Tarkett. Tarkett Sommer AG (Tarkett AG as of Oct. 1) then communicated its intention to make an offer to acquire all of the issued and outstanding common shares of Domco Tarkett not already owned by Tarkett AG or an affiliate. Tarkett AG owned indirectly 74.4 percent of Domco Tarkett shares immediately preceding the offer. As a result of the amalgamation, it will own, indirectly, 100 percent of the common shares of Tarkett Inc.
